Terms of Service

1. Acceptance of Terms

By downloading, installing, or using EXITON Quality Gate, EXITON FMEA, EXITON BlockSketch, or accessing fmea.exiton.net, you agree to these terms. If you do not agree, do not use our services.

2. Description of Service

EXITON provides:

  • Desktop Software: Tools for FMEA quality checking and circuit design review.
  • Web Tools: Browser-based utilities for block diagram generation and design analysis.
  • Documentation: Guides and best practices for FMEA workflows.

3. Pricing, Billing, and License Tiers

EXITON desktop products use a three-tier license model:

  • Trial: 30-day free trial with full functionality. No payment required.
  • Free: After trial expiration, limited to 20 BOM components per project. No time limit.
  • Paid: $29 USD per month per product, unlimited components. Cancel anytime.

EXITON FMEA and EXITON Quality Gate are each $29 USD per month, billed separately. Payment is processed by Lemon Squeezy, our third-party payment processor. You will be charged on the date you confirm your subscription.

EXITON BlockSketch is provided free of charge.

4. Refund Policy

Because we offer a 30-day free trial with full functionality, we generally do not issue refunds after a paid subscription begins. You have ample opportunity to evaluate the product before committing to a paid plan. If you experience a technical issue that prevents you from using the product, contact us within 7 days of your payment date and we will work with you to resolve the issue or issue a refund at our discretion. Refund processing is handled by Lemon Squeezy.

5. Draft Disclaimer

EXITON output is a review draft, not a submission-ready document. Our tools help you generate and organize FMEA worksheets quickly, but all output must undergo cross-functional review, validation, and approval before submission to customers, regulators, or internal stakeholders. EXITON does not assume responsibility for FMEA quality decisions or regulatory compliance. You are responsible for the accuracy and adequacy of your FMEA.

6. Intellectual Property

EXITON owns all software, algorithms, documentation, and brand assets. You own your input data, designs, and FMEA outputs. You may use output for internal business purposes and customer submissions, subject to these terms. You may not reverse-engineer, decompile, or redistribute EXITON software.

7. Limitation of Liability

EXITON is provided "as is" without warranty. To the fullest extent permitted by law, EXITON shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the service in the past 12 months.

8. Termination

You may cancel your subscription at any time through the Lemon Squeezy customer portal (link provided in your purchase confirmation email). Your paid features remain active until the end of your current billing period. After that, the application automatically reverts to the Free tier (20 component limit). The app will continue to launch and function — you will not lose access to your existing files or data.

If your payment fails or your subscription lapses, the same Free tier fallback applies. EXITON may terminate your access immediately if you violate these terms or any applicable law.

9. Governing Law

These terms are governed by the laws of Japan. Any dispute arising from these terms shall be resolved exclusively in the courts of Tokyo, Japan.
